Terms of Service

Welcome to TapRef. These Terms of Service ("Terms") form a binding agreement between you and TapRef ("TapRef", "we", "us") governing your access to and use of our NFC cards, dashboard, hosted hub pages, APIs, and related services (together, the "Service"). By creating an account, ordering a card, or using the Service, you agree to these Terms.

1. The Service

TapRef provides programmable NFC cards and a hosted platform that lets you publish a customizable page (a "hub"), redirect taps to any URL, collect feedback and reviews, and view analytics. Cards are sold as physical goods; the platform is sold as a subscription.

2. Eligibility & account

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • You must provide accurate information when signing up and keep it up to date.
  • One person or legal entity per account, unless you purchase a plan that explicitly allows multi-user access.

3. Acceptable use

You agree not to use the Service to:

  • Publish illegal, infringing, deceptive, sexually exploitative, or harassing content.
  • Impersonate another person or business, or misrepresent your affiliation.
  • Send spam, phishing links, malware, or destinations that violate the policies of any platform you redirect to.
  • Reverse engineer, decompile, scrape, or attempt to bypass rate limits or security controls.
  • Resell, white-label, or redistribute the Service without a written agreement.

We may suspend or terminate accounts that violate this section without prior notice if the violation is severe or ongoing.

4. Cards & orders

  • Cards are priced as one-time purchases. Pricing and availability appear on our pricing page and at checkout.
  • Once shipped, cards are non-refundable unless the card arrived defective or was lost in transit.
  • If your card arrives defective, contact us within 30 days at support@tapref.app for a replacement.
  • We are not responsible for lost cards once delivery is confirmed by the carrier.
  • Shipping times are estimates; we do not guarantee delivery dates.

5. Subscriptions, billing & cancellation

  • Paid plans renew automatically on a monthly or yearly basis until cancelled.
  • Payments are processed by Stripe. By subscribing, you authorize recurring charges to your selected payment method.
  • You can cancel anytime from the billing page. Cancellation takes effect at the end of the current paid period — we do not pro-rate refunds for partial periods.
  • If a payment fails, we may suspend access until it's resolved. Repeated failures may result in account termination.
  • We may change pricing with at least 30 days' notice for active subscribers; the new price applies on your next renewal.

6. Your content

You retain all ownership of the content you upload to the Service — logos, photos, text, links, business information, and customer feedback ("Your Content"). You grant TapRef a non-exclusive, worldwide, royalty-free license to host, store, display, and process Your Content solely as needed to operate and improve the Service.

You are solely responsible for Your Content and warrant that you have the rights to publish it and that it does not violate any third-party rights or applicable law.

7. Reviews & feedback collected through TapRef

TapRef can capture private feedback before routing customers to public review platforms. You agree to use this feature in good faith and in compliance with the terms of any third-party platform you redirect to (e.g. Google, Yelp, TripAdvisor). You will not use TapRef to suppress, manipulate, or fabricate reviews in violation of those platforms' policies or applicable consumer protection laws.

8. Service availability

We work hard to keep the Service available, but we do not guarantee uninterrupted operation. Maintenance, third-party outages, or factors beyond our control may cause downtime. We are not liable for losses arising from temporary unavailability.

9. Changes to the Service

We may add, change, or remove features at any time. If we make a material change that meaningfully reduces the value of a paid plan, we'll notify active subscribers and offer a pro-rated refund for the unused portion if you choose to cancel.

10. Intellectual property

TapRef, the TapRef logo, the dashboard, and all associated software, designs, and documentation are owned by us or our licensors and protected by copyright, trademark, and other laws. These Terms grant you a limited, non-transferable, revocable license to use the Service for its intended purpose — nothing more.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk. On termination, your hosted hubs will go offline and your data may be deleted after a reasonable retention window (see our Privacy Policy).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL PRODUCE ANY SPECIFIC BUSINESS OUTCOME.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPREF'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

14. Indemnification

You agree to defend and indemnify TapRef from any third-party claim arising out of Your Content, your use of the Service, or your breach of these Terms.

15. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. If you reside in a country whose laws grant you mandatory consumer rights, nothing in this section limits those rights.

16. Changes to these Terms

We may update these Terms from time to time. If changes are material, we'll notify you by email or through the dashboard at least 14 days before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
